Jack B. “Trey” Coker III

Trey Coker works with his clients to navigate any number of corporate, business, and compliance matters. Trey brings a business-oriented, practical, problem-solving approach to all of his clients’ matters. Trey’s clients include individual entrepreneurs, companies, and private equity and venture capital funds.

He regularly advises clients in complex business transactions ranging from mergers and acquisitions, recapitalizations, reorganizations, financings, credit facilities, private placements, joint venture relationships, and venture capital and private equity transactions. Trey’s practice also involves business planning and formation, advising clients on various corporate governance matters, and general commercial transactions and agreements.

James W. Goodwin, III

Mr. Goodwin advises clients on a diverse range of corporate and tax matters, including merger and acquisitions, business formations, and private equity transactions.  In addition, he advises entrepreneurs and emerging growth companies in all phases of their business life cycles from company formation through financings and exit. He has experience in raising capital through private placements, negotiating and drafting a wide variety of commercial contracts, and conducting corporate planning for closely held businesses. Mr. Goodwin assists clients in structuring business transactions to align with their individual and family tax planning goals, which may include income tax, gift tax, and estate tax.


Mr. Goodwin joined the firm after starting his career in the New York Mergers & Acquisitions group at PricewaterhouseCoopers, where he specialized in due diligence, structuring business acquisitions and reorganizations.

R. Carlton Ward

Mr. Ward received a B.S.A. in 1970 and a J.D. in 1973 from the University of Florida. A native of Tampa, Florida, Mr. Ward has been involved in many professional and community activities since moving to Clearwater, having served on organizations, including the Clearwater Bar Association, the American Bar Association Real Property, Probate and Trust Law Division, American Bar and Florida Bar Young Lawyers Divisions. Mr. Ward is a former President of the Pinellas Real Estate Law Council and Past Chairman of the Greater Clearwater Chamber of Commerce, the Pinellas County United Way and the United Way of Tampa Bay. Mr. Ward also served as chairman of the Clearwater Homeless Intervention Project and voted one of Tampa Bay’s Top Lawyers by Tampa Bay Magazine. He has an AV Preeminent Peer rating by Martindale Hubbell. Mr. Ward has lectured frequently regarding real property and condominium law. His practice includes real estate, corporate, condominium, commercial, banking, wills and trusts and general law.
