clients’ businesses and the markets in which they operate. The firm has
served as general counsel for domestic and foreign (i) financial
institutions including banks, bank holding companies, thrifts and
insurance companies; (ii) real estate concerns including real estate
investors and developers, as well as commercial and residential builders;
(iii) metallurgical fabrication industries involving iron ore, basic steel
and aluminum fabrication; (iv) shipping concerns ranging from liner and
bulker services to ship construction and repair, as well as commercial
fishing operations; (v) public utilities, including gas and electric
cogeneration facilities; and (vi) computer software companies whose
primary assets consist of intellectual property. The firm’s corporate
practice frequently involves international aspects which require
utilization of the firm’s experience in working with financial centers of
North America, South America, Western Europe, the Mediterranean, Asia and
the emerging nations of the former eastern block.
Finally, general counsel representation often requires tax expertise. The
backbone of the firm’s corporate representation consists of the numerous
shareholders with Master of Laws degrees in taxation. The firm has
represented clients electing to be taxed as sub-chapter S corporations,
sub-chapter C corporations, cooperatives, foreign service corporations,
domestic service corporations, professional corporations, partnerships,
limited liability companies and non-profit corporations. The firm’s
attorneys have represented these clients in controversies before the
Internal Revenue Service, Tax Court, and Federal Court systems.
